Please carefully read these Terms and Conditions ("Terms") before submitting your application for participation in the ESSAYPROFIT’s Affiliate Program (“Program”), because by using this Website You agree to abide by these Terms. Terms contain terms and conditions that describe You as a Partner of the Program (hereinafter "You" or "Partner").

Partner acknowledges that its participation in the Program is possible only if the conditions specified below are fulfilled. Besides, and recognizes the right of ESSAYPROFIT to reject or accept Your application for participation in the Program at its own discretion.

By using the Website, You agree to fulfill these Terms.

Definitions

“Affiliate,” “Partner” and/or “You,” “Your” represents an individual or legal entity, an applicant or a final consumer accessing the Website and its content, submitting the application and participating in the Program offered on the Website.

“Link” means text, a graphic image, a text block, a pop-up or appearing banner, and other similar blocks containing a Link to ESSAYPROFIT Services.

“Promotional materials" mean widgets for the Website, WP templates, advertising materials, e-mail message templates, text, graphics, text block, pop-up or appearing banner and other similar blocks related to the ESSAYPROFIT Program.

"Commission Fee" is a fee for each Authentic Purchase made by a Referred Customer that You refer to ESSAYPROFIT under and/or in accordance with these Terms.

"Partner Website" is the Partner's Internet website, which displays ESSAYPROFIT Services and/or promotions.

"Authentic Purchase" is a sale of the Services to a Referred Customer.

"Referred Customer" is a new and unique customer referred from Partner/Affiliate through a Link provided by and approved by Us that meets the criteria outlined in the Terms in section “Commission Fee Determination.”

"Registration Form" is all order forms, registration forms, or other signup or acceptance forms (online, paper, fax copy or any other), including any information in it, submitted by You.

"Services" means academic writing services that are available for purchase on the websites (“Service Website(s)”) and provided to the Partner by ESSAYPROFIT.

"We," “Our,” “Company,” “Us” and/or “Ourselves” are ESSAYPROFIT.

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore refer to the same.

Eligibility

By participating in the Program You (Partner/Affiliate) represent(s) and warrant(s) that:

  • a) all registration information You submit to Us is truthful and accurate;
  • b) Partner shall maintain an accuracy of such information;
  • c) Partner has full legal capacity to enter into legally binding relations under these Terms;
  • d) use of this Website and participation in the Program under these Terms does not and will not conflict with the current legislation, any prescriptions and/or provisions, and/or regulations, and/or licenses and/or permits, and/or registrations applicable to the Partner;
  • e) use of this Website and participation in the Program does not and will not cause any violation and/or non-fulfillment of any agreement or any other instrument to which the Partner is a party, or the effect which extends to the Partner;
  • f) use of the Website does not and will not conflict with any provisions of the constituent documents of the Partner (if any).

By participating in Program, You agree that Your profile may be deleted and Your cooperation with ESSAYPROFIT may be terminated without warning if We believe that You do not comply with the representations and warranties outlined in these Terms, as well as if You do not respond to demand to terminate actions that violate these Terms in the proper manner within 10 days from the moment of receipt of such a demand.

Enrollment in the Program

To begin the enrollment process, You must submit with application by completing Registration Form. The Registration Form can be found at new.essayprofit.com/en/partner/index/registration. ESSAYPROFIT will review Your application and notify You of a decision. ESSAYPROFIT has a right to approve or reject Partner’s application in ESSAYPROFIT’s at its sole discretion.

Please remember that participation in the Program is possible only if You complete the Registration Form. You will receive a password and account (“Partner Account”) designation upon completing the Website's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under Your password and/or Your Partner Account.

You agree to (i) immediately notify Us of any unauthorized use of Your password and/or Partner Account and/or any other breach of security, and (ii) ensure that You exit from Your Partner Account at the end of each session. We shall not be liable for any loss and/or damage arising from Your failure to comply with these provisions.

Links

If You are qualified enough to enter the Program, You will become a Partner. In such case, We will make available a variety of Links to You, which are subject to the Terms hereof. The Links will be available to You (generated) in Partner`s Account upon Your registration in the Program.

These Links will be used to identify You as a member of Program. The Links may connect to any area of Service Website(s), however, Commission Fee will be issued only on Qualified Purchases. By using the Links, You agree that You will cooperate with Us in order to establish and maintain such Links.

You also agree that You will display only those graphic or textual images (indicating a Link) provided by Us or text messages expressly approved in advance by ESSAYPROFIT on Your Partner’s Website. All Partner's Websites should display such graphics and/or textual images prominently in relevant sections of the Website. Any information related to our Company that is going to be displayed on Partner’s Website must be provided by Us and expressly approved by Us in advance of any display. Partner should not modify the Links in any way. ESSAYPROFIT will not be responsible for the errors that occur in the tracking of transactions if the Partner has made or caused any modification.

Commission Fee Determination

Under the Program, You will be paid a Commission Fee for each Qualified Purchase made by a Referred Customer whom You refer under and in accordance with the provisions of these Terms.

Each Referred Customer and each Qualified Purchase must meet the following criteria (the "Criteria"):

  • a. Each Referred Customer must register by completing and submitting relevant customer registration form using a unique account and accurate billing information.
  • b. Each Referred Customer must make a Qualified Purchase and provide a valid payment for the purchased Services. Each Referred Customer must be an active, qualified customer and must be up-to-date in all payments at the time the Commission Fees are processed and not be subjected to a refund, credit, cancellation, suspension or chargeback to generate a Commission Fee for You.
  • c. Each Referred Customer must sign up in a manner, which in Our sole judgment, definitively establishes that the Referred Customer was referred directly from You to Service Website(s) according to these Terms.
  • d. Each Referred Customer must remain in compliance with Terms of relevant Service Website(s), Privacy Policy and other policies that are active at the time the Commission Fees are processed.

ESSAYPROFIT reserves the right to suspend payment of the Commission Fees up to 30 (thirty) business days, if it suspects fraud or other improper activity and/or a potential breach of any of the provisions of these Terms by the Partner and/or a Referred Customer(s).

ESSAYPROFIT reserves the right to deduct from Partner's current and/or future Commission Fees and all Commission Fees corresponding to any fraudulent, questionable, and canceled Service purchases.

ESSAYPROFIT, in its sole discretion, reserves the right to withhold indefinitely any Commission Fee, and/or to reverse, deny or reject in any Commission Fee, for:

  • a. All Commission Fees, charged for accounts of Referred Customers that may be fraudulent, including those created by using programs and including, but not limited to those that generate real and fictitious information.
  • b. If We deem orders to be fraudulent or see a pattern of potentially fraudulent activity, including, without limitation, multiple accounts from the same Referred Customer.
  • c. If Our Promotional materials were modified in any way.

ESSAYPROFIT reserves the right to immediately cancel or withhold for later review any Commission Fee based on the preceding or that otherwise fails to meet the Criteria. It is the responsibility of the Partner to monitor the payment, denial and withholding of the Commission Fees. ESSAYPROFIT shall have no obligation to notify Partners of the status of Commission Fees actively.

If a Partner has a question about a Commission Fee that has been canceled or withheld, that Partner has 30 days from the day the payment was made to contact ESSAYPROFIT to discuss or reclaim the Commission Fee. Any changes concerning decisions about canceling or withholding of the Commission Fees are strictly made at ESSAYPROFIT's discretion.

Any attempt by a Partner to manipulate and/or falsify Referred Customers and/or Qualifying Purchases or Commission Fees to intentionally defraud ESSAYPROFIT or violate of any of the provisions of these Terms constitutes immediate grounds for Us to terminate Your participation in this Program and will result in forfeiture of any Commission Fees due to You.

Commission Fee Accrual and Payment

We will pay a Commission Fee according to the Terms of cooperation, available in the personal account (new.essayprofit.com/en/partner/terms), in USD amount outlined in the Payments (“Balance” status) in Your Partner's Account. All payments shall be processed via worldwide online payments systems (including, but not limited to PayPal, Skrill, Payoneer). Commission Fees will be processed and transferred within 10 days after withdrawal inquiry submitted using Withdrawal form in the Payments in Partner's Account.

Commission Fees will accrue and become payable only once You (i) provide all relevant information and/or documentation necessary for valid Commission Fee to be issued; (ii) reach a Commission Fee level of $100 (the "Commission Threshold") based on the “Balance” status of the Partner's Account.  ESSAYPROFIT reserves the right to change the Commission Threshold by amending these Terms.

You are responsible for the payment of all taxes related to the commissions, You receive under these Terms. You are responsible for informing ESSAYPROFIT about the postal and/or email addresses changes, as well as any changes related to Your name, contact information, tax identification number, or other personal information that can affect ESSAYPROFIT's ability to issue a valid Commission Fee payment.

Limited License during the Validity Period of these Terms

As between Partner and ESSAYPROFIT, ESSAYPROFIT shall own all rights, title and interest, including all Intellectual Property Rights in and to the Website, the Program, and the Links. ESSAYPROFIT is the owner of the following Intellectual Property items: trade secrets, logos, trademarks, Services brands, banners, widgets for websites, WordPress templates, chats, email messages, texts, designs and graphics (for the purpose of these Terms – “ESSAYPROFIT IP”).

ESSAYPROFIT hereby grants a limited, non-exclusive, non-transferable, revocable license to the Partner to use ESSAYPROFIT IP solely according to these Terms and for the period of validity of ESSAYPROFIT IP.

ESSAYPROFIT reserves the right to use the ESSAYPROFIT IP in full.

Partner must refrain from actions that violate ESSAYPROFIT IP. Partner undertakes to use ESSAYPROFIT IP solely on behalf of ESSAYPROFIT.

Nothing in these Terms shall grant Partner with the proprietary rights in and to the ESSAYPROFIT IP, other than rights in and to the permitted use of ESSAYPROFIT IP, as specified in these Terms.

Relationship of the Parties

You and ESSAYPROFIT are licensee and licensor. Nothing in these Terms can be construed to create any partnership, joint venture, agency, franchise, sales representative or employment relationship. You have no authority to make or accept any offers or representations on behalf of ESSAYPROFIT. You shall not make any statement or take any actions that contradict anything contained in this section or any that misrepresent the manner of relations between the Parties.

Validity

These Terms shall remain in full effect for as long as You continue to participate in the Program or maintain Links to Service Website(s) on Your Partner’s Website(s) (“Term”). Partner shall have a right to terminate these Terms by sending a written notice of such termination to the support team of ESSAYPROFIT within 10 (ten) calendar days before the date of termination.

Partner is eligible to earn only Commission Fees on Qualified Purchases occurred during the Validity period. The Commission Fees earned before the date of termination shall remain payable only if the related orders are not canceled or returned. ESSAYPROFIT may withhold Partner’s final payment for 60 (sixty) days to ensure that the correct amount of Commission Fees is paid.

Partner agrees and accepts that in case of violation of these Terms by Partner, ESSAYPROFIT shall have a right to exclude Partner from Program immediately. Upon exclusion from Program, Partner must exclude all Links from Website(s). In case of failure to comply with these Terms by Partner, none of the amounts on the Partner’s balance shall be paid to the Partner.

Upon termination of these Terms, (a) all licenses granted hereunder have to be terminated and (b) You shall immediately remove all Links from Partner Website(s) and cease using ESSAYPROFIT name, logos, trademarks, service marks, and/or proprietary technology.

None Commission Fees will be paid to customers, who have registered after the date of termination of these Terms.

Actions that are prohibited in relation to ESSAYPROFIT

By using ESSAYPROFIT’s Website(s), You shall not run automated search queries on Our Website(s) that may harm Company. You are not allowed to use any "deep-link", "page-scrape", "robot", "spider" or other automatic devices, programs, algorithms or methodologies, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the ESSAYPROFIT’s Website(s). You should not in any way reproduce the navigational structure or presentation of the ESSAYPROFIT’s Website(s), to obtain or attempt to get any materials, documents or information through any means not purposely made available through the ESSAYPROFIT’s Website(s).

You shall not attempt to gain unauthorized access to any portion or functionality of the ESSAYPROFIT’s Website(s), or any other systems or networks connected to the ESSAYPROFIT’s Website(s) or any Company’s server, or to any of the Services offered on or through the ESSAYPROFIT’s Website(s), by hacking, password "mining" or any other illegitimate means.

You may not probe, scan or test the vulnerability of the ESSAYPROFIT’s Website(s) or any network connected to the ESSAYPROFIT’s Website(s), nor breach the security or authentication measures on the ESSAYPROFIT’s Website(s) or any system connected to the ESSAYPROFIT’s Website(s).

You may not reverse, look-up, trace or seek to trace any information on any other user or visitor to the ESSAYPROFIT’s Website(s), including any Company’s account not owned by You, to its source, or exploit the ESSAYPROFIT’s Website(s) or any service or information made available or offered by or through the ESSAYPROFIT’s Website(s), in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Your personal information, as provided by the ESSAYPROFIT’s Website(s).

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the ESSAYPROFIT’s Website(s) or Company’s systems or networks, or any systems or networks connected to the ESSAYPROFIT’s Website(s) or Company.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the ESSAYPROFIT’s Website(s) or any transaction being conducted on the ESSAYPROFIT’s Website(s), or with any other person's use of the ESSAYPROFIT’s Website(s).

You may not forge headers or otherwise manipulate identifiers to disguise the origin of any message or transmittal You send to Company on or through the ESSAYPROFIT’s Website(s) or any service offered on or through the ESSAYPROFIT’s Website(s). You may not pretend that You are, or that You represent someone else, or impersonate any other individual or entity.

Limitations of Liability

ESSAYPROFIT shall not be liable to You or any other person or entity for any indirect, consequential, incidental, special, or exemplary damages, including lost profits, arising out of/or/in connection with these Terms (however arising, and regardless of the theory of recovery).

All information on Website is provided to You on an "as is" basis without any guarantee, of any kind, either express or implied, including the implied warranties of non-violation of third party’s rights. If effective legislation does not allow the limitation or exclusion of liability for any incidental or consequential damages or exclude implied warranties, the ESSAYPROFFIT'S full proprietary liability before the Partner, arising out of or/in connection with these Terms, in no event shall exceed five hundred dollars ($500).

Such limitations of liability are the main reasons of Your participation in Rrogram and should distribute on all claims of responsibility even in the event of ESSAYPROFIT’S notice of the possibility of such damage.

We are not responsible for cases, including, but not limited to: (i) if You do not understand and remember these Terms; (ii) if You do not achieve the expected result by using our Program, (iii) if You abuse Our program; (iv) if You undergo any difficulty when using our Program except those that resulted from the technical defects of the Program.

Publicity

The Partner should not make any public statements or press releases regarding the conditions or the existence of these Terms and/or the Company's activities without the prior Company's permission. For the purposes of these Terms, public statements are publications in closed/open forums, posts in social networks, any form of statements accessible to an unlimited number of persons is public.

Confidentiality

The Partner recognizes that by participating in the Program, Partner receives partial access to the Company's materials and information related to the Company's business, plans, customers, technology, products and Services that are confidential and of significant value to the Company, the value of which may fall in the event disclosure to third parties. In particular, confidential information is information about the Company's Customers who have registered, and data that shows the effectiveness of the advertising. The Partner has no right to grant access to his or her account to third parties, and also disclose to third parties any information obtained as a result of participation in the Program.

Indemnification

You agree to indemnify, defend and hold Us harmless from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against Us that arise out of, result from, or may be payable by virtue of, any breach or nonperformance of any representation, warranty, covenant or agreement made or obligation to be performed by You pursuant to these Terms.

Damage to system

We use all commercially reasonable physical, management and technical measures to maintain the integrity and security of Your information and comply with Your privacy settings. We can not, however, ensure or guarantee the safety of any data that You transmit to ESSAYPROFIT or guarantee that Your information on our Website is not subject to access, disclosure, modification or destruction by violating any of Our physical, technical, or managerial conservation measures. Despite Our efforts, third parties may illegally intercept or access Your personal information, and other users may abuse or use Your personal data collected from the ESSAYPROFIT’s Website(s).
